1. Terms of website use
1.1 These terms and conditions (together with those terms and conditions and policies referred to in paragraph 2 below) (together, the “Terms of Use”) set out the terms of use on which you may make use of our website www.successatschool.org (“our site”), whether as a guest or a registered user. Use of our site includes accessing, browsing, or registering to use our site.
1.2 Please read the Terms of Use carefully before you start to use our site, as these will apply to your use of our site. We recommend that you print a copy of such Terms of Use for future reference. By using our site, you confirm that you accept the Terms of Use and that you agree to comply with them. If you do not agree to all of the provisions in the Terms of Use, you must not use our site. If you make us of our site and its services as a registered user, please note that you will be required to indicate your acceptance to the Terms of Use during the registration process.
1.3 We may revise the Terms of Use at any time by amending the applicable pages. Please check the relevant Terms of Use pages from time to time to take notice of any changes we made, as they are, and will be, binding on you.

By using our site, you consent to such processing and you warrant that all data provided by you is accurate.
2.2 Our Acceptable Use Policy https://successatschool.org/page/acceptableuse, which sets out the permitted uses and prohibited uses of our site. When using our site, you must comply with this Acceptable Use Policy.
3. Information about us
Our site is operated by Success at School Limited ("we"). We are registered in England and Wales under company number 07913432 and have our registered office at 124 Chatsworth Road, London, NW2 5QU.
4. Changes to our site
We may update our site from time to time, and may change the content at any time. However, please note that any of the content on our site may be out of date at any given time, and we are under no obligation to update it. We do not guarantee that our site, or any content on it, will be free from errors or omissions, and we make no representations or warranties about any of the content on our site.
5. Accessing our site
5.1 Our site is currently made available free of charge. We, however, reserve the right to charge for use of some or all of the content of, or services made available within, our site at any time and to change any applicable fees from time to time in our discretion. We will notify you if there has been an introduction of, or any change to, any such fees or charges. If we terminate your use of our site due to a breach by you of the Terms of Use you shall not be entitled to a refund of any unused portion of any fees or charges.
5.2 We do not guarantee that our site, or any content on it, will always be available or be uninterrupted. Access to our site is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of our site without notice. We will not be liable to you if for any reason our site is unavailable at any time or for any period.
5.3 You are responsible for making all arrangements necessary for you to have access to our site. You are also responsible for ensuring that all persons who access our site through your internet connection are aware of the Terms of Use and that they comply with them.
6. Your account and password
6.1 If you choose to register with our site and are provided with a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as strictly confidential. You must not disclose it to any third party.
6.2 We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of the Terms of Use.
6.3 If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at hello@successatschool.org
7. Intellectual property rights
7.1 Unless specified otherwise, we are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
7.2 You may print off one copy, and may download extracts, of any page(s) from our site for your personal use and you may draw the attention of others within your organisation to content posted on our site.
7.3 You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
7.4 Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged.
7.5 You must not use any part of the content on our site for commercial purposes without obtaining a licence to do so from us or our licensors.
7.6 If you print off, copy or download any part of our site in breach of the Terms of Use, your right to use our site will cease immediately and you must, at our option (and at your cost), return or destroy any copies of the materials you have made.
8. No reliance on information
8.1 The content on our site is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site.
8.2 Although we make reasonable efforts to update the information on our site, we make no representations, warranties or guarantees, whether express or implied, that the content on our site is accurate, complete or up-to-date.
9. Limitation of our liability
9.1 Nothing in the Terms of Use excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
9.2 To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to our site or any content on it, whether express or implied.
9.3 We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
(a) use of, or inability to use, our site; or
(b) use of or reliance on any content displayed on our site.
If you are a business user, please note that in particular, we will not be liable for:
(a) loss of profits, sales, business, or revenue;
(b) business interruption;
(c) loss of anticipated savings;
(d) loss of business opportunity, goodwill or reputation; or
(e) any indirect or consequential loss or damage.
If you are a consumer user, please note that we only provide our site for domestic and private use. You agree not to use our site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
9.4 We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any content on it, or on any website linked to it.
9.5 We assume no responsibility for the content of websites linked on our site. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.
10. Competitions
10.1 Competition details form part of these terms of use. Entry is open to school students in the UK except employees (and their families) of Success at School Ltd (Success at School), its printers and agents, the suppliers of the prizes and any other companies associated with the competitions. Proof of identity and age may be required. Use of a false name or address will result in disqualification. All entries must be made directly by the person entering the competition. Entries made online using methods generated by a script, macro or the use of automated devices will be void. No responsibility can be accepted for entries lost, delayed or corrupted, or due to computer error in transit.
10.2 The prizes are as stated, are not transferable to another individual and no cash or other alternatives will be offered. The winner(s) is(are) responsible for expenses and arrangements not specifically included in the prizes, including any necessary travel documents, passports and visas. Prizes are subject to availability and the prize suppliers' terms and conditions. School prizes will be subject to a minimum of a 100 students participating from that school, this can be altered up or down at the discretion of Success at School. Success at School reserve the right to amend or alter the terms of competitions and reject entries from entrants not entering into the spirit of the competition. In the event of a prize being unavailable, Success at School reserves the right to offer an alternative prize of equal or greater value. The winner(s) agree(s) to the use of their name, photograph and disclosure of county of residence and will co-operate with any other reasonable requests by Success at School relating to any post-winning publicity.
10.3 Unless stated otherwise the winner(s) will be drawn at random from all correct entries received by the closing date stated within the promotional material. Reasonable efforts will be made to contact the winner(s). If the winner(s) cannot be contacted, or are unable to comply with these terms and conditions, the Promoter reserves the right to offer the prize to the next eligible entrant drawn at random, or in the event that the promotion is being judged the Promoter reserves the right to offer the prize to the runner(s)-up selected by the same judges. Confirmation of the prize will also be made in writing to the winner(s). Failure to respond and/or provide an address for delivery, or failure to meet the eligibility requirements may result in forfeiture of the prize. Where applicable, the decision of the judges is final based on the criteria set out in the promotion and no correspondence will be entered into over this decision. Competitions may be modified or withdrawn at any time. The provider of the prize is specified within the promotional material. In the event of a discrepancy between these standard terms and conditions and the details in the promotional material (or any other terms and conditions provided/referred to at the time of entry), the details of the promotional material (and any other terms and conditions provided/referred to at the time of entry) shall prevail.
11. Uploading content to our site
11.1 Whenever you make use of a feature that allows you to upload content to our site, participate in any discussion boards or to make contact with other users of our site, you must comply with the content standards set out in our Acceptable Use Policy https://successatschool.org/page/acceptableuse.
11.2 You warrant that any such contribution does comply with such standards and the Terms of Use, and you will be liable to us and indemnify us for any breach of that warranty. If you are a consumer user, this means you will be responsible for any loss or damage we suffer as a result of your breach of warranty. Pursuant to such indemnification obligation, you hold us, our subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, demand, claim or legal proceedings brought or threatened, including expenses of any character suffered or incurred arising out of your use of, and conduct on, our site in violation of the Terms of Use.
11.3 Any content you upload to our site will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such content for any purpose.
11.4 We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.
11.5 We will not be responsible, or liable to any third party, for the content or accuracy of any content posted by you or any other user of our site.
11.6 We have the right to remove any posting you make on our site if, in our opinion, your post does not comply with the content standards set out in our Acceptable Use Policy http://www.successatschool.org/page/acceptableuse.
11.7 The views expressed by other users on our site do not represent our views or values.
12. Viruses
12.1 We do not guarantee that our site will be secure or free from bugs or viruses.
12.2 You are responsible for configuring your information technology, computer programmes and platform in order to access our site. You should use your own virus protection software.
12.3 You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.
13. Linking to our site
13.1 You may link to our home page or any other page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
13.2 You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
13.3 You must not establish a link to our site in any website that is not owned by you.
13.4 Our site must not be framed on any other site.
13.5 We reserve the right to withdraw linking permission without notice.

14. Third party links and resources in our site
Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources.
15. The following additional applies if you are using our teacher dashboard for a school or college
15.1 Accessing the limited teacher dashboard is free. An annual licence fee is payable by the school or college to Success at School for use of additional features on the teacher dashboard. The licence will be annual and will renew automatically for another 12 months unless the school or college provides a cancellation notice to Success at School three months prior to the renewal date.
For the avoidance of doubt - accessing this website from the web is free of charge. The costs are associated with accessing the customisation, data management tools and personal CMS.
15.2 Your subscription start date will be the date the custom site is ordered from our shop and the end date will be twelve months after the start date, unless otherwise agreed with Success at School.
15.3 You agree to use reasonable endeavours to encourage the Students and their parents and/or guardians to use the site as their primary resource tool in connection with career opportunities and post-school development.
15.4 You warrant that if you add users, you confirm that you have express permission the account holders or users shall not be under 13, you will be liable to us and indemnify us for any breach of that warranty. Success at School Ltd may require you to provide evidence of this permission as required under the GDPR laws. This means in the event you can't provide this evidence, you will be responsible for any loss or damage we suffer as a result of your breach of warranty. Pursuant to such indemnification obligation, you hold us, our subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, demand, claim or legal proceedings brought or threatened, including expenses of any character suffered or incurred arising out of your use of, and conduct on, our site in violation of the Terms of Use.
15.5 In connection with facilitating improvements or modifications to the site and/or services provided, you shall, if required: (i) during the first 4 months, facilitate a forum between a representative selection of the school or college to discuss the site; (ii) ask all your users to participate in a survey relating to the site; and (ii) regularly (being on at least one occasion during each school term) participate in a meeting (whether by phone or in person) with Success at School to discuss the site.
15.6 In order to customise the site for use by you and your users, you shall provide certain content related to the school or college, including logos and photos. You shall grant Success at School a non-exclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, distribute and display such content throughout the world in any media in connection with the site. You shall indemnify Success at School for all and any claims resulting from content supplied by you. You grant Success at School the right to use the your name in connection with our site.
15.7 Either party shall respond to any correspondence, queries or communications of any kind with each other, as soon as practicable, but in all circumstances within 5 working days. Success at School’s normal opening hours are Monday to Friday 9am to 5pm. All queries should be sent to team@successatschool.org.
15.8 You shall, and shall procure that all of its employees and staff (full time and temporary) shall, keep the contents of this customised site strictly private and confidential from any potential competitors.
15.9 Success at School’s aggregate liability to the School arising from or in connection with this website and terms (whether in contract, tort or otherwise) shall be no more than the aggregate fees paid by the School to Success at School in the twelve months prior to the date of the event giving rise to the School’s claim.
16. Applicable law
16.1 Please note that the Terms of Use, its subject matter and its formation, are governed by English law. You and we both agree to that the courts of England and Wales will have exclusive jurisdiction.
16.2 You may not assign, sub-license or otherwise transfer any of your rights under the Terms of Use.
16.3 If any part of the Terms of Use is found to be invalid by any court having competent jurisdiction the validity of the remaining terms will be unaffected. If either party does not exercise any right or remedy under these terms, this will not be taken to mean that they have been waived.
